Neo Aeronautics, Inc., a Delaware company based in Singapore that designs electric and conventional vertical takeoff and landing aircraft, filed an amended registration statement for an initial public offering of Class A common stock on October 22, according to its Form S-1/A.

The offering

The company is offering 3,750,000 shares of Class A common stock, and selling stockholders are offering 1,250,000 more. The estimated price is $4.00 to $6.00 a share, which at the range would raise $15 million to $22.5 million for the company's own shares (computed) and $5 million to $7.5 million for the selling stockholders. Neo will not receive proceeds from the selling stockholders' shares. It has applied to list on NYSE American under the symbol "NEOA," and the offering is conditional on NYSE American's final approval. ARC Group Securities is listed as the underwriter.

The company

Neo says its vision is "to accelerate the Advanced Air Mobility (AAM) market through the provision of 'Safe, Reliable, and Sustainable' vertical takeoff and landing (VTOL) services, products and solutions." It designs and engineers electric and conventional VTOL aircraft for uses including passenger transportation for sports and recreation, logistics and customized aerial vehicles, and says it uses third-party partners for design, supply and manufacturing.

Going-concern doubt

The prospectus says "substantial doubt exists about our ability to continue as a going concern," citing recurring losses, an accumulated deficit of S$5,042,948 (Singapore dollars) and negative cash flows from operations. It reported a net loss of S$1,334,660, or US$1,031,342, in 2025 and S$1,270,108 in 2024, and S$408,916, or US$315,984, in the six months ended June 30, 2026. Neo plans to fund operations through new loans, stockholder advances and distributor order payments, "aiming for self-sustaining cash flow by 2028."
